General Conditions

The Contest and these Contest Rules are subject to cancellation, termination, modification, limitation, or suspension in Young America’s Foundation’s sole discretion, with or without notice, including to persons who have already entered the Contest. All cancellations, terminations, modifications, limitations, or suspensions of the Contest or Contest Rules will be posted on Young America’s Foundation’s website. For the avoidance of doubt, these rights extend to circumstances in which Young America’s Foundation, at its sole discretion and for any reason, determines that the Contest cannot be conducted as planned by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, acts of God, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest. If, in those circumstances, Young America’s Foundation terminates the Contest, it reserves the right to select the Winners from among all eligible Entries received as of the date of termination or as otherwise may be deemed fair and equitable by Young America’s Foundation.

IN NO EVENT WILL YOUNG AMERICA’S FOUNDATION BE RESPONSIBLE OR LIABLE FOR ANY LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF ANY ACCESS TO OR USE OF THE WEBSITE OR THE DOWNLOADING FROM, UPLOADING TO, AND/OR PRINTING MATERIAL DOWNLOADED FROM THE WEBSITE. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE WEBSITE IS PROVIDED “AS-IS, WHERE-IS, WITH ALL FAULTS”; WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, AND WITH NO GUARANTEE THAT THE WEBSITE WILL BE ERROR FREE OR THAT ANY ERRORS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW OR MAY LIMIT THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS. ANY ATTEMPT BY AN ENTRANT OR OTHER PERSON TO DAMAGE ANY WEB SITE ASSOCIATED WITH YOUNG AMERICA’S FOUNDATION OR ITS AGENTS OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAW, AND FOUNDATION AND ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

Each Entrant, including the Winners, agrees to indemnify, release, and hold harmless Young America’s Foundation, its directors, officers, employees, and agents from any and all liabilities, claims, demands, actions or causes of action, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage and personal injury (including emotional distress) which may occur in connection with participation in , the Contest, and for any claims or causes of action based on publicity rights, defamation or invasion of privacy. If this release is prohibited in any part by applicable law, Entrant hereby waives the right to seek or accept damages in any proceeding and to reimburse Young America’s Foundation for any and all expenses or costs associated with such claim (including attorney’s fees, court fees and the amount of any judgment or settlement).

Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrants or Young America’s Foundation in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia without giving effect to any choice of law or conflict of law rules. Any dispute relating to the Contest shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in the Commonwealth of Virginia. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of inconvenient forum or lack of personal jurisdiction that they may have.
